Terms of Service
Effective date:
These Terms of Service (“Terms”) govern your use of the Strew web application (the “Service”), provided by [TODO(human): legal entity name](“Strew”, “we”, “us”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Strew is
Strew lets you compose a piece of content once and publish it to multiple third-party social networks (“Connected Networks”) you have authorized. Strew is a tool that acts on your behalf — you remain responsible for the content you publish and for complying with each Connected Network’s own terms.
2. Eligibility
You must be at least the minimum digital-consent age in your country (16 in much of the EU; 13 in the UK and the United States) to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts and security
- You sign in via a third-party identity provider (currently GitHub or Google). You are responsible for maintaining the security of that provider account.
- You are responsible for all activity that occurs under your Strew account.
- Notify us promptly at [TODO(human): contact email] if you suspect unauthorized access.
4. Connected Networks
When you connect a social network, you grant Strew permission to act on your behalf within the scopes you authorized. You may revoke that permission at any time by disconnecting the account in Strew or by revoking the grant from the provider’s own settings.
You agree to comply with the terms of each Connected Network you use, which are incorporated by reference into these Terms, including (without limitation) the Meta Platform Terms, the Meta Developer Policies, the Instagram Platform Policy, and the LinkedIn API Terms of Use. Strew may suspend or remove a connection if a Connected Network requires it or if your use violates that network’s policies.
5. Acceptable use
You agree not to use the Service to:
- Publish content that is unlawful, defamatory, harassing, hateful, fraudulent, or that infringes intellectual-property or privacy rights.
- Distribute malware, phishing links, or content designed to deceive recipients.
- Engage in spam, coordinated inauthentic behavior, or platform manipulation prohibited by a Connected Network.
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure; reverse-engineer the Service except where the law expressly permits; or interfere with the Service’s operation.
- Use the Service to send messages to people who have not consented to receive them where consent is required by law.
- Resell, sublicense, or repackage the Service without our written permission.
We may suspend or terminate accounts that we reasonably believe are in violation of this section.
6. Your content
You retain all ownership rights in the content you create with Strew. You grant Strew a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of operating the Service on your behalf — for example, to publish a post you scheduled to a Connected Network you authorized.
You represent that you have all rights necessary to publish the content you submit through Strew.
7. Copyright complaints (DMCA)
Strew responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content published through Strew infringes your copyright, send a written notice that includes (i) your physical or electronic signature; (ii) identification of the copyrighted work; (iii) identification of the allegedly infringing material and its location; (iv) your contact information; (v) a statement that you have a good-faith belief the use is not authorized; and (vi) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the copyright owner’s behalf.
Send notices to our designated DMCA agent at [TODO(human): DMCA agent name and contact email]. We may terminate the accounts of repeat infringers.
8. Service availability
Strew is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, or that publishing to a Connected Network will always succeed — Connected Networks may rate-limit, reject, or delay requests for reasons outside our control. We will make reasonable efforts to keep the Service available and to surface publish failures to you so you can retry.
9. Beta features and pilot use
During the pilot program and any features marked “beta”, the Service may change, behave unpredictably, or be withdrawn without notice. Do not rely on beta features for time-sensitive publishing without a manual fallback.
10. Fees
The Service is currently provided free of charge during the pilot. We may introduce paid plans in the future; if we do, we will give you notice and an opportunity to review the pricing before any charges apply.
11. Termination
You may stop using the Service and delete your account at any time from the account settings. We may suspend or terminate your access if you breach these Terms, if a Connected Network requires it, or if we discontinue the Service. On termination, we will delete your data within 30 days, subject to the retention periods described in the Privacy Policy.
12. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
In short:we can’t promise the Service will never break.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT WHERE SUCH A LIMITATION IS PROHIBITED (INCLUDING UNDER MANDATORY CONSUMER PROTECTION LAWS), STREW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR FIFTY (50) US DOLLARS, WHICHEVER IS GREATER.
In short: our financial liability is capped, but nothing here removes rights you have under your local consumer-protection laws.
14. Indemnity
You agree to indemnify and hold Strew harmless from claims arising from content you publish through the Service or from your breach of these Terms or of any Connected Network’s terms.
15. Force majeure
Strew is not liable for any failure or delay in performance caused by events outside our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, third-party platform outages, or natural disasters.
16. Export controls and sanctions
You represent that you are not located in, and are not a national or resident of, a country subject to a comprehensive U.S. embargo, and that you are not on any U.S. government denied-party list (including the OFAC Specially Designated Nationals list). You agree not to use the Service in violation of U.S. or other applicable export-control or sanctions laws.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in the application. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of [TODO(human): governing-law jurisdiction], without regard to its conflict-of-law principles. Disputes arising out of or relating to these Terms will be resolved in the courts of [TODO(human): venue jurisdiction], except that either party may seek injunctive relief in any court of competent jurisdiction.
19. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Strew regarding the Service and supersede any prior agreements. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect (severability). Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
